• Create and deploy AI-powered automation workflows
• Integrate with third-party applications and services
• Generate reports and analytics related to your customer operations
• Collaborate with team members and manage user permissions

B. Prohibited Uses

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to any portion of the Services or other accounts
• Use the Services to send spam, unsolicited communications, or malicious content
• Reverse engineer, decompile, or attempt to extract the source code of the Services
• Use the Services to compete with Delyt or develop competing products
• Upload or transmit viruses, malware, or other harmful code
• Collect or harvest personal information of other users without consent
• Use the Services in any way that could damage, disable, overburden, or impair our systems
• Use the Services to send unsolicited bulk messages through WhatsApp, Facebook Messenger, Instagram, or any other messaging channel in violation of the channel provider's policies

6. Subscription and Payment Terms

A. Subscription Plans

Delyt offers various subscription plans with different features, usage limits, and pricing. Current plans and pricing are available on our website. We reserve the right to modify our plans and pricing at any time.

B. Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated or required by law
• You authorize us to charge your payment method for all fees when due
• You are responsible for all taxes associated with your use of the Services
• Late payments may result in suspension of your account

C. Changes to Pricing

We may change our pricing from time to time. For existing subscribers, we will provide at least 30 days' advance notice of any price increases. Price changes will take effect at the start of your next billing cycle.

D. Free Trials and Promotions

We may offer free trials or promotional pricing. These offers are subject to additional terms and conditions, which will be communicated to you at the time of the offer.

7. Data and Content

A. Your Data

You retain all rights to the data you submit to or create through the Services ("Customer Data"). You grant us a limited license to use, process, and store Customer Data solely to provide the Services to you.

B. Data Processing

We process Customer Data in accordance with our Data Processing Agreement and applicable data protection laws. You are responsible for ensuring you have the necessary rights and consents to provide Customer Data to us.

We implement appropriate technical and organizational measures to protect your data. However, you acknowledge that no system is completely secure, and you use the Services at your own risk.

D. Data Backup and Recovery

While we maintain backups of Customer Data, you are responsible for maintaining your own backups of important data. We are not liable for any loss of data.

8. Intellectual Property

A. Delyt's Rights

The Services and all related intellectual property rights are owned by Delyt or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

B. Your Rights

You retain ownership of your Customer Data and any intellectual property you create using the Services. You grant us a license to use your feedback and suggestions to improve the Services.

C. Trademark Usage

You may not use Delyt's trademarks, logos, or brand elements without our prior written consent.

9. Third-Party Services

The Services may integrate with or provide access to third-party services, applications, or content. Your use of such third-party services is subject to their respective terms and conditions. We are not responsible for third-party services or any issues arising from their use.

Meta Platform Services. Our Services integrate with Meta Platforms, Inc. ("Meta") services, including Facebook Messenger, Instagram Direct Messages, and WhatsApp Business. When you connect your Meta accounts through our platform, you authorise us to access and process messages, page data, and account information on your behalf through Meta's APIs. Your use of these Meta services through our platform is also subject to Meta's Terms of Service and Platform Terms. We act as a service provider processing this data on your behalf and in accordance with our Data Processing Agreement. You are responsible for ensuring your use of Meta messaging channels through our Services complies with Meta's policies, including their Commerce Policy and Business Messaging guidelines.

10. Termination

A. Termination by You

You may terminate your account at any time by following the instructions in your account settings or by contacting us. Upon termination, your access to the Services will cease, but these Terms will continue to apply to any prior use of the Services.

B. Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. We may terminate your account for violations of these Terms, non-payment, or other reasons at our sole discretion.

C. Effect of Termination

Upon termination:

• Your right to use the Services will immediately cease
• You will remain liable for all charges incurred up to the date of termination
• We may delete your account and data in accordance with our retention policies
• Sections of these Terms that by their nature should survive termination will remain in effect

11. Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

12. Limitation of Liability

A. Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DELYT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

B. Limitation of Total Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELYT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO DELYT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

C. Essential Terms

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE AGREEMENT BETWEEN YOU AND DELYT.

13. Indemnification

You agree to indemnify, defend, and hold harmless Delyt and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Customer Data or content

14. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts of England and Wales.

15. General Provisions

A. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Delyt regarding the Services.

B. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
